Market Research Participation Agreement

This Market Research Participation Agreement ("Agreement") is by and between the individual that will be completing the services set forth on Exhibit B and that has agreed to the terms hereof (the "Participant") and GE Healthcare, a division of General Electric Company ("GEHC").

Compensation: Set forth on Exhibit B hereto

Participant shall provide the market research services (the "Services") set forth on Exhibit B hereto.

GEHC and Participant agree as follows:

In consideration for performance of the Services, GEHC shall provide Participant with the compensation listed above. The parties acknowledge that the compensation set forth herein represents the fair market value of the Services to be provided by Participant to GEHC, and that such compensation has been negotiated in an arm's-length transaction and has not been determined in a manner which takes into account the volume or value of health care referrals or business, if any, that may otherwise be generated between GEHC and Participant, or Participant’s employer. There is no requirement under this Agreement or any other agreement between GEHC and Participant that requires Participant to refer any business to GEHC for products or services reimbursable under any state or federal healthcare program. Participant agrees that it is solely responsible for all applicable federal, state and local taxes.

  1. Engagement. Subject to the terms and conditions of this Agreement, Participant hereby offers the Services and GEHC agrees to compensate Participant for the provision of such Services.
  2. Additional Terms. This Agreement includes General Terms and Conditions ("Exhibit A") that are incorporated herein by reference. By signing this Agreement, Participant represents that it shall comply with the terms of Exhibit A. This Agreement and Exhibit A hereto shall constitute the entire agreement between Participant and GEHC with respect to the subject matter hereof.

Exhibit A - General Terms and Conditions

1.  Duties and Obligations of Participant/Participant Warranties.

a)  Participant warrants that all Services will be performed in an honest and ethical manner in accordance with generally established professional standards and practices and best practices for Participant's industry.
   
b)  Participant shall, in providing the Services, comply with all applicable laws, regulations, codes and ordinances. Participant acknowledges that, in addition to complying with all applicable laws and regulations, GEHC's internal regulatory compliance program includes adherence to the NEMA Code of Ethics On Interactions with Health Care Providers (available at www.nema.org). At no time will this Agreement require GEHC to take any action or refrain from taking any action that could foreseeably be inconsistent with the NEMA Code or GEHC's internal compliance guidelines.
   
c)  Participant represents that the terms of this Agreement are not inconsistent with any other contractual or legal obligations Participant may have or with the policies of any institution with which Participant is associated.
  
4.  Assignment. Participant may not assign this Agreement without GEHC's prior written consent.
5. Governing Law. This Agreement shall be governed by the laws of the State of New York, excluding its conflicts of laws provisions.
6. Disputes. Any dispute, controversy or claim relating to this Agreement ("Dispute") shall be resolved by binding arbitration through the American Arbitration Association ("AAA") in New York City in accordance with the AAA's Commercial Arbitration Rules then in effect, as amended by this Agreement. The law applicable to the arbitration, including the administration and enforcement thereof, is the Federal Arbitration Act, 9 U.S.C. §§ 1-16, as amended from time to time. The cost of arbitration, including the fees and expenses of the arbitrator(s), will be shared equally by the parties, with each party paying its own attorneys' fees. THE PARTIES WAIVE ANY RIGHT TO TRIAL BY JURY.
7. Intellectual Property. The Booklet (as defined in Exhibit B) is and shall remain the property of GEHC, and Participant acknowledges and agrees that the Booklet has tangible value of GEHC. Except to the extent to that GEHC grants rights to Participant to use the Booklet pursuant to this Agreement, GEHC shall retain all rights to the Booklet, including all copyright rights therein, and no license to Participant under any patent, copyright, trademark or other intellectual property right of GEHC is either granted or implied by Participant's receipt of the Booklet. Notwithstanding the above, upon full completion of the Services, GEHC grants to Participant a perpetual, nontransferable license to use the Booklet for its internal business purposes.

Participant's duties and obligations that are included in this Section shall survive any termination of this Agreement and/or Participant's right and license to use the Booklet.
       
           
2.  Independent Contractor. Participant's status under this Agreement is that of an independent contractor.        
           
3.  Term and Termination.        
 
a)  This Agreement shall be effective upon full execution of the Agreement and continue for a period of one year or until Participant has completed all Services, whichever occurs first.
   
b)  Either party may terminate this Agreement, without cause, upon written notice to the other party, but such termination shall not affect any obligations which have accrued prior thereto.
       


Exhibit B

Services to be provided by Participant:

Participant agrees to complete an on-line market research survey developed by GE Healthcare. GE Healthcare's objective with the market research survey is (i) to reach the right contact within an orthopedic practice (ii) to better understand the practices' Diagnostic Imaging needs, seeking differentiators as it relates to products and services and (iii) to learn about the orthopedic administrator's communication preferences. The market research results and information on the participants' demographics will be shared within GE Healthcare for promotional, marketing and research purposes, and to better serve the orthopedic community; and will not be shared outside GE.

Consideration to be provided by GE Healthcare to Participant:

In return for the market research services described above, GE Healthcare will provide Participant with one (1) copy of the attached "Organizing a Regional Bones Society - A Practical Guide" booklet" (the "Booklet").
