What is the purpose of the eMA?
The eMA is an agreement between you, the customer, and GEMS about how to conduct business on-line. It is designed to allow you, our customer, and GEMS to create binding "click" contracts. The eCommerce Master Agreement is a one-time piece of paper that creates the ability to enter into binding "click" contracts.

Who should sign the eMA?
  • The individual who signs the eCommerce Master Agreement has to be an authorized purchasing agent for the health care facility.
  • This person becomes the Online Account Super-User, with authority to enter into contracts or authorize others to enter into contracts and place orders for the facility.
What is the customer agreeing to when they sign the eMA?
  • Your login name constitutes your electronic signature, authenticated by a chosen password and/or electronic address.
  • On-line transactions under the terms and conditions of the eMA are binding contracts under the terms posted on our website.
  • A list of users authorized by the customer to conduct on-line “click” contracts for the facility.
What if the customer has a strategic purchasing agreement with GEMS?
It is clearly stated in the eMA that the terms of such an agreement supersede any conflicting terms on our website.

Can a customer make an online purchase without signing an eMA?
  • Yes, certain diagnostic imaging accessories and supplies can be purchased without a completed eMA, specifically those accessories not restricted to Healthcare Providers.
  • For all equipment and accessories for which purchase is restricted to healthcare providers, an eCommerce Master Agreement must be completed for the order to be considered an ‘online’ purchase.
Is the Online Account Super-User legally responsible for the users who purchase online under the account?
The Super-User is responsible for keeping the list of authorized purchasers for the account updated. A purchaser listed on the eCommerce Master Agreement can bind you, the customer, to an on-line transaction.

Can the eMA be used for all countries?
Not at this time. It only addresses US on-line contracting issues.

Does the eMA impact the financing process?
No. You must still go through the traditional off-line financing processes.

What if someone hacks my password and orders on my behalf?
Due to GEMS highly secured host infrastructure, your password is stored behind a firewall and protected from the open internet. The only way a password could be compromised is if the actual user gave it out.
